Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Emogent AI platform, website, and related services (collectively, the "Service") provided by Emogent AI ("Emogent", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company.

1. Description of Service

Emogent is a B2B SaaS platform that enables real estate businesses to deploy AI-powered voice agents for outbound and inbound lead engagement. The platform includes a dashboard for campaign management, CRM integration, call analytics, knowledge base management, and telephony configuration.

Emogent places automated voice calls on your behalf using AI. Every call placed through Emogent identifies itself as an automated AI call at the beginning of the conversation.

2. Account Registration

  • You must provide accurate, complete, and up-to-date registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activity that occurs under your account
  • You must notify us immediately of any unauthorised use of your account at admin@emogent.ai
  • You must be at least 18 years old to use the Service

3. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable Indian laws. You must not:

  • Use the Service to place calls to numbers registered on the National Customer Preference Register (NCPR / NDND) without valid exemption
  • Place calls outside the permitted hours of 9:00 AM to 9:00 PM IST as required by TRAI regulations
  • Misrepresent the nature of your business or the purpose of calls to leads
  • Upload lead lists without proper consent having been obtained from those individuals
  • Use the platform to harass, threaten, or deceive call recipients
  • Violate any applicable laws, including TRAI regulations, the DPDP Act 2023, or RERA
  • Attempt to reverse engineer, decompile, or extract the source code of the platform
  • Resell or sublicense access to the Service without written permission
  • Use the Service in any way that could damage, overburden, or impair our infrastructure

4. Customer Compliance Obligations

You are solely responsible for:

  • DND Compliance: Ensuring that every phone number in your lead lists has been verified against the TRAI NCPR (NDND) registry before any outbound call is initiated. Emogent provides tools to acknowledge this compliance; the legal responsibility rests entirely with you.
  • Lead Consent: Ensuring that your leads have provided consent to be contacted by your business, in accordance with the DPDP Act, 2023.
  • RERA Compliance: Ensuring that all information your AI agent communicates about properties (pricing, possession dates, project details) is accurate and consistent with your RERA filings.
  • DLT Registration: Registering your business as a telemarketer on the DLT portal with your telecom operator, as required by TRAI.

Indemnification: You agree to indemnify and hold harmless Emogent, its officers, and employees from any claims, fines, penalties, or liabilities arising from your failure to comply with TRAI, DPDP, RERA, or any other applicable regulation.

5. Payment and Billing

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are in Indian Rupees (INR) and exclusive of applicable GST
  • Payment is due on the billing date; failure to pay may result in suspension of your account
  • We reserve the right to modify pricing with 30 days' notice via email

6. AI and Telephony Services

  • Call quality and connectivity depend on underlying telephony infrastructure and network conditions; Emogent does not guarantee 100% call completion rates
  • Call recordings and transcripts are stored in India for up to 180 days
  • AI responses are generated from the knowledge base you provide; you are responsible for the accuracy of that content
  • Emogent's AI may occasionally produce inaccurate responses; you should implement appropriate human oversight for sensitive sales decisions

7. Intellectual Property

Emogent AI and its platform, technology, and branding are owned by us and protected by intellectual property law. You retain ownership of all content you upload (knowledge documents, scripts, lead data). You grant Emogent a limited licence to use that content solely to deliver the Service.

We may use anonymised, aggregated data derived from the use of our platform (not including any personally identifiable information) to improve our models and services.

8. Confidentiality

Each party agrees to keep the other's confidential information (including API keys, pricing, and technical architecture) confidential and not to disclose it to third parties without prior written consent.

9. Termination

  • You may cancel your account at any time from the billing settings page
  • We may suspend or terminate your account immediately if you breach these Terms or misuse the platform
  • Upon termination, your data will be retained for 90 days before deletion, during which you may request a data export

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Emogent does not warrant that the Service will be uninterrupted, error-free, or fully secure.

11. Limitation of Liability

To the maximum extent permitted by Indian law, Emogent's total liability to you for any claim arising under these Terms shall not exceed the amount you paid to Emogent in the three (3) months immediately preceding the event giving rise to the claim.

Emogent is not liable for any indirect, incidental, special, or consequential damages, including loss of revenue, loss of data, or business interruption.

12. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India. We encourage you to contact us first at admin@emogent.ai to resolve any dispute informally.

13. Changes to Terms

We may update these Terms from time to time. We will notify registered users via email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
